  • Are there conflicts of interest we should know about?

  • Oregon law prohibits a board member from receiving loans from the corporation.

    You may continue to apply for a committee position, but not a board position while your loan with NeighborImpact is active.

  • Conviction of a previous crime or a regulatory sanction is not necessarily a bar to service on the board of directors or one of its committees. A further conversation with a NeighborImpact board or staff member will be needed to clarify any restrictions on service that might be implicated.

  • One third of NeighborImpact’s board must consist of low- to moderate-income board members. The following information will tell us whether you can quality for one of these seats. We are not interested in your specific income. If your income is higher than these thresholds, please continue the application. Two thirds of the board does not need to income qualify, and there are no income requirements related to board committee service.

  • Board Committees

    The Board President appoints membership to committees; and creates and appoints membership on committees or task forces to investigate matters or to advise the Board or any officer on a matter and are intended to be for a single purpose and have limited duration. All directors will be asked to serve.
  • Finance Committee

    • Establishes and oversees budget development process; serves as budget committee (usually with Executive Committee)
    • Reviews and make recommendations on fiscal reports to the board (NeighborImpact and limited partnership). 
    • Oversees procurement processes.
    • Meets annually with auditor to review audit/990 and recommend adoption to the NeighborImpact board. 
    • Provides oversight of fiscal management policies and reviews. 
    • Oversees the investment policy; reviews investment performance.
    • Recommends internal controls. 
    • Oversees risk management activities
  • Lending Committee

    • Implement the lending policy approved by the Board.
    • Review monthly and annually the performance of the loan portfolio.
    • Approve loans and loan modifications on behalf of the board.
    • Approve the loan rate sheet, review and approve all fees to be charged in connection with loans.
    • Approve bad debt write off; recommend bad debt write offs to board.
    • Oversight of compliance and lending policies.
  • Culture and Belonging Committee

    • Suggests strategies to management for recruiting and advancing demographically underrepresented populations to the NeighborImpact workforce.
    • Suggests strategies to management for increasing outreach to clients from underserved communities and populations, both geographic and demographic.
    • Suggests strategies to management for addressing internal culture and morale within the organization and for messaging to external audiences that NeighborImpact serves ALL of Central Oregon, both geographically and demographically.

  • Volunteer/Confidentiality Agreement:

    • If elected to serve on the Board of Directors or appointed as a committee member at NeighborImpact ("volunteer"), I agree to the following:
    • I will hold all information that I may obtain directly or indirectly concerning clients and/or staff in absolute confidence.
    • I will not solicit my political or religious beliefs to clients and/or staff.
    • My services are donated to NeighborImpact without contemplation of compensation or promise of future employment.
    • I understand that a criminal background and/or credit check may be required depending on the area of my volunteering.
    • I will be punctual and conscientious; conduct myself with dignity, courtesy, and consideration of others and endeavor to make my work professional in quality.
    • I will make every effort to resolve any problems related to my volunteer service with the Board President, Executive Director and/or the Executive Committee.
    • I will make my best effort to fulfill my commitment to NeighborImpact by completing all volunteer assignments that I accept.
    • I understand that NeighborImpact reserves the right to terminate my volunteer status as a result of failure to comply with NeighborImpact's policies; absences without prior notification; unsatisfactory attitude, work, or appearance; or any other circumstance which in the judgement of the Board of Directors, would make my continued service as a volunteer contrary to the best interests of NeighborImpact and in accordance with NeighborImpact policies and bylaws.
    • I understand that it is a violation of NeighborImpact policy to solicit business or act as an agent for outside business.
      I will refrain from using my volunteer position to seek personal gain through sales of goods or services, or to solicit contributions for organizations other than NeighborImpact, or the pursuit of political activity on behalf of a candidate for public office while volunteering for or representing NeighborImpact.
